In the event of any conflict between these Terms of Service and a separately executed service agreement, the terms of the service agreement shall prevail with respect to the specific services described therein. 5. Intellectual Property Rights

All content on our website, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, digital downloads, data compilations, software, and the design, selection, and arrangement thereof, is the exclusive property of Brent G Tye Excavation Inc. or its content suppliers and is protected by Canadian and international copyright, trademark, patent, trade secret, and other intellectual property laws.

The Brent G Tye Excavation Inc. name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of the Company or its affiliates. All other names, logos, product and service names, designs, and slogans on this website are the trademarks of their respective owners.

Unless otherwise agreed in writing, the Company retains all intellectual property rights in the methodologies, tools, frameworks, templates, and know-how used in the delivery of Services. Rights to Deliverables created specifically for a client are addressed in the applicable service agreement.

6. Client Responsibilities

Clients engaging our Services are responsible for providing accurate and complete information regarding their systems environment, technical requirements, and business objectives. You agree to provide reasonable access to your facilities, personnel, systems, and data as necessary for the Company to perform the agreed-upon Services. Failure to provide timely access or information may result in delays or additional costs, for which the Company shall not be held responsible.

7. Confidentiality

In the course of providing Services, the Company may receive confidential or proprietary information from clients. We agree to hold such information in confidence and to use it solely for the purpose of performing the Services. We will not disclose confidential information to third parties except as required by law or as necessary to perform the Services with your authorization. The Company implements reasonable safeguards to protect confidential information consistent with industry standards.

8. Limitation of Liability

To the fullest extent permitted by applicable law, Brent G Tye Excavation Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the website; any conduct or content of any third party on the website; or unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort, or any other legal theory, and whether or not the Company has been informed of the possibility of such damage.

Liability for service engagements is addressed in the applicable service agreement.

Any dispute, claim, or controversy arising out of or relating to these Terms of Service or the breach, termination, enforcement, interpretation, or validity thereof shall first be attempted to be resolved through good-faith negotiation between the parties.

If the dispute cannot be resolved through negotiation within thirty days, either party may refer the matter to binding arbitration in accordance with the Arbitration Act of Ontario. The arbitration shall be conducted by a single arbitrator mutually agreed upon by the parties, or failing agreement, appointed by a court of competent jurisdiction. The arbitration shall take place in Ontario, Canada, and the language of the arbitration shall be English. Each party shall bear its own costs and share equally the fees and expenses of the arbitrator.

15. Severability and Waiver

If any provision of these Terms of Service is found to be unenforceable or invalid under any applicable law, such unenforceability or invalidity shall not render these Terms unenforceable or invalid as a whole. Such provisions shall be severed, and the remaining provisions shall continue in full force and effect. No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

16. Entire Agreement

These Terms of Service, together with our Privacy Policy and any applicable service agreement, constitute the entire agreement between you and Brent G Tye Excavation Inc. regarding your use of the website and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding such subject matter.
